Background and purpose of the EGM
As you may be aware, a key priority of your Management Committee is the modernisation of the Club's processes, to make them fit for purpose for a global Club of AMOC's size and stature in the 21st century.
As part of this agenda, it is proposed to modernise the Club's process for electing its Directors.
Currently the Club's constitution stipulates that the term for each of the ten Directors is just one year, at which point all ten Directors are invited to stand for re-election for another year.
This arrangement could lead to a significant annual turnover in Directors, resulting in serious loss of expertise and continuity and undermining the ability of the Club to deliver on its objectives, especially complex initiatives taking more than one year to implement.
To mitigate the risk, it is proposed to move to the more modern best practice, whereby Directors serve for a term of three years instead of one year, but are subject to re-election on a rotational basis.
